WaveDialer Terms & Conditions

1. Acceptance of Terms

By installing, accessing, or using WaveDialer ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

2. Description of Service

WaveDialer is a browser-based telephony solution that provides:

• Power dialer (click-to-call) functionality within your CRM
• Two-way SMS messaging
• Call recording with temporary storage
• Automatic call logging to your CRM contacts

The Service operates as a Chrome Extension and requires a Telnyx account for telephony services.

3. Account Requirements

• You must have a valid CRM account to use the Service.
• You must have a valid Telnyx account with active credentials.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years of age to use the Service.

4. Acceptable Use

You agree not to use the Service to:

• Make calls or send messages that violate any applicable laws or regulations (including TCPA, GDPR, and local telemarketing laws).
• Engage in harassment, spam, or unsolicited bulk communications.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to gain unauthorized access to any part of the Service.
• Use the Service for any illegal or fraudulent purpose.

5. Telephony Costs

WaveDialer connects to your Telnyx account for telephony services. All call and messaging costs are billed directly by Telnyx according to their published rates. SmartWave Digital is not responsible for any charges incurred through your Telnyx account.

6. Call Recording & Storage

• Call recordings are stored temporarily for up to 30 days.
• Recordings are automatically deleted after the retention period.
• You are solely responsible for complying with all applicable call recording consent laws in your jurisdiction.
• SmartWave Digital is not responsible for any legal claims arising from your use of the call recording feature.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may experience downtime for maintenance, updates, or unforeseen circumstances. We are not liable for any losses resulting from service interruptions.

8. Intellectual Property

All content, design, code, and branding of WaveDialer are owned by SmartWave Digital. You may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, SmartWave Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, lost data, or business interruption.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or available at all times.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time by uninstalling the Chrome Extension.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of significant changes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration.
